Acceptance of Terms
By accessing or using the FlowState mobile application (“App”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, please do not use the App.
Eligibility
To use FlowState, you must be at least 18 years of age and capable of entering a binding contract under applicable law. The App is currently available for users located in Calgary, Alberta.
How FlowState Works
FlowState allows users (“Athletes”) to match with compatible sparring partners. Once matched, users will be shown a list of available gyms with time slots for sparring. Both matched users can agree on a time and jointly book a session by paying half of the total fee each through the app. FlowState facilitates matchmaking and session bookings but is not responsible for the conduct of users or the gym environment.
Booking & Payments
All bookings must be made through the FlowState App. Payments are processed securely via Stripe. FlowState facilitates the transaction and distributes proceeds to gym partners.
Cancellations & Refunds
If a cancellation has been made 24 hours before booking time: Full refund to both users.
If a cancellation has been made after 24 hours from the booking time: User who cancels gets 50% of their share refunded. The other user receives 100% of their share refunded.
If there is a no show: User who checks in at the gym gets 100% of their share refunded. The no show forfeits their payment.
Refunds will be processed back to the original payment method within 5 business days.
Check-in Policy
Both users must check in at the gym at the time of booking to confirm attendance. This is used to validate refunds and participation.
User Responsibilities
Provide accurate personal information (including weight, height, belt level and reach).
Treat other users and gym property with respect.
Refrain from harassment, abuse or discriminatory conduct.
Do not impersonate others or create fake profiles.
Risk Assumption & Liability Waiver
You acknowledge and agree that sparring and martial arts carry inherent physical risks. By using FlowState:
You voluntarily assume all risk related to injuries, accidents, or incidents that may occur during sessions.
FlowState is not responsible or liable for any injuries, damages, losses or disputes that occur at gyms or between users.
FlowState is a facilitator, not a trainer, not a gym or insurer.
We strongly recommend consulting a medical professional before engaging in sparring activities.
Account Suspension & Termination
FlowState reserves the right to suspend or terminate your access if:
You violate these terms.
You misuse the platform.
You receive repeated reports or complaints from users or gyms.
We may also remove or modify any content or profile details at our discretion.
Intellectual Property
All content, trademarks, logos, and software in the App are the exclusive property of FlowState. You agree not to copy, reproduce, distribute, or reverse-engineer any part of the App without written permission.
Privacy and & Data Use
FlowState collects and uses your data (e.g., name, contact info, weight, height, training details, profile photo) to provide matchmaking and session bookings. All data is handled in accordance with our Privacy Policy.
Modifications
FlowState reserves the right to modify these Terms at any time. Users will be notified of material changes via the App. Continued use of FlowState after changes implies your acceptance.
Governing Law
These Terms are governed by the laws of Alberta, Canada. Any disputes arising from these Terms or your use of FlowState will be subject to the exclusive jurisdiction of the courts in Calgary.
Force Majure
FlowState shall not be liable for any delay or failure to perform its obligations if such delay or failure results from events beyond our reasonable control, including but not limited to natural disasters, government actions, war, labor disputes, internet or power outages, or other force majeure events.
Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and FlowState concerning the use of the App and supersede any prior agreements or understandings.
